1. Agreement
These Terms and Conditions ("Terms") govern your access to and use of the Keel software product and the website at keel.infranexis.com, operated by Infranexis, Inc. ("Infranexis", "we", "us"). By signing up, purchasing a licence, or using Keel, you agree to these Terms on behalf of yourself and your organisation ("Customer", "you").
2. Software licence
Subject to timely payment of the applicable annual licence fee, Infranexis grants you a non-exclusive, non-transferable, limited licence to install and use the Keel software within your own infrastructure for the duration of the licence term.
- The licence is per appliance and scoped to the ingest volume tier purchased.
- You may not sublicense, resell, or distribute the software to third parties.
- You may not reverse engineer, decompile, or attempt to extract source code from the software.
- All rights not expressly granted remain with Infranexis.
3. Proof of concept (POC)
Infranexis may, at its discretion, provide a 30-day guided POC licence at no charge before any purchase commitment. During the POC:
- All product features are available for evaluation on your own infrastructure and data.
- No payment or credit card is required.
- The POC licence expires automatically at the end of 30 days unless a paid licence is purchased.
- Infranexis reserves the right to limit the number of POCs per organisation.
4. Payment and renewal
- Licences are billed annually in advance.
- Renewal invoices are issued 30 days before the end of the current licence term.
- Failure to pay within 30 days of the invoice due date may result in suspension of the licence.
- All prices are in USD and exclusive of applicable taxes.
- You are responsible for any taxes (GST, VAT, withholding, etc.) applicable in your jurisdiction.
5. Updates and support
Active licence holders are entitled to all software updates and new feature releases during the licence term. Support is provided via email at [email protected]. Response times and SLAs for Enterprise customers are defined in their separate agreement.
6. Customer data and privacy
Keel runs entirely within your network. Log data, incident information, and AI inference results never leave your environment. You remain the sole owner and controller of all data processed by Keel. Infranexis processes only anonymous usage counters for licence enforcement. See our Privacy Policy for details.
7. Intellectual property
Keel and all related software, documentation, and materials are the exclusive intellectual property of Infranexis, Inc. These Terms do not transfer any intellectual property rights to you. Feedback you provide about the product may be used by Infranexis to improve its products without obligation or attribution.
8. Warranties and disclaimers
Infranexis warrants that Keel will perform materially in accordance with its published documentation. To the maximum extent permitted by applicable law, the software is provided "as is" without warranties of fitness for a particular purpose or uninterrupted operation.
9. Limitation of liability
To the maximum extent permitted by law, Infranexis's total liability for any claim arising under these Terms is limited to the licence fees paid by you in the 12 months preceding the claim. In no event will Infranexis be liable for indirect, incidental, consequential, or punitive damages.
10. Termination
Either party may terminate the licence at the end of the current annual term by providing written notice before the renewal date. Infranexis may terminate or suspend your licence immediately if you breach these Terms and fail to remedy the breach within 14 days of notice.
11. Governing law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved by binding arbitration or, where arbitration is not available, in the courts of Delaware.
12. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email to active licence holders at least 30 days before they take effect. Continued use of the software after the effective date constitutes acceptance of the updated Terms.
